PROGRAM TERMS
Welcome to the Nano-Ojas Affiliate Program–we’re glad you’re here!
The following Terms and Conditions apply to individuals who are accessing the Program both as a Merchant (“we” or “Merchant”) and an Affiliate (“you” or “Affiliate”) who refers customers to purchase the Merchant’s products or services.
By participating in the Program, you the Affiliate agree to use the Program in the manner specified in, and are therefore bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety you are not authorized to register as an Affiliate or participate in the Program in any manner.
1. Approval or Rejection of Registration
We reserve the right, and have sole and absolute discretion, to approve or reject ANY Affiliate Program Registration. You will have no legal recourse against us for the rejection of your Affiliate Program Registration.
2. Affiliate Links, Coupon, and Sign-On Bonus
Affiliate links are automatically generated, but an Affiliate link can also be generated for a specific product or collection. If a person clicks on someone else’s referral link and then later clicks on yours and confirms a purchase, yours will be the one that is counted.
The Affiliate may or may not be assigned to one coupon code (details and usage clarified on the Dashboard). If the customer clicks on the Affiliate link AND uses the coupon code, Affiliates will not receive a double commission.
The Affiliate may advertise the Merchant’s (Nano-Ojas) website and products via online channels such as Facebook, Instagram, TikTok, YouTube, and others, or offline via in-person networks or traditional media.
Affiliate Sign-On Bonus: You will receive a separate email from Nano-Ojas with your exclusive $100 sign-on bonus coupon code to apply towards a purchase of three or more bottles of Nano-Ojas Sprays.
3. Commissions and payment
For an Affiliate to receive a commission, the Affiliate must specify the payment details in their account’s Settings. Referral of any customer who makes a purchase on the Nano-Ojas website will yield a commission to the Affiliate in an amount which is calculated based on commission structure (10%). Commission amount is dependent on net order value and therefore does not include additional fees such as taxes or shipping costs.
Commissions will be paid via PayPal or Store Credit once a month on the last day of the month when the accumulated value of commissions exceeds $100. No PayPal fees are incurred by the Affiliate UNLESS payments are being received by a U.S. business (your LLC, for instance). **NOTE: Canadian affiliates MUST select Store Credit as payment option.
Use of the Affiliate Program is subject to a fair use policy which gives the merchant the right to review each and every referral order. Status of commissions are displayed in the Commission tab, while any paid commissions will be listed in the Payment tab. Return transactions that result in chargebacks or refunds will not be paid out. If a refund is processed after a payout has already been disbursed, the system will automatically deduct the commission to balance the account. This will be reflected in the next commission payment period.
4. Marketing tool
The Merchant may share with the Affiliate promotional materials and/or assets such as banners, logos, graphics, media links, or specific image collections through the Marketing tool tab. You can download media or retrieve the HTML embed code in order to share on Affiliate channels. The Affiliate is at liberty to use these resources provided by the Merchant. The Affiliate may also create content so long as it is deemed appropriate AND consistent with the brand’s message, tone, and aesthetic.
5. Cookie
We use a cookie to track people who have clicked on your Affiliate link, so they need to accept and use cookies in order for our system to track their purchase.
If a person doesn't allow cookies or clears their cookies then we can't track and therefore cannot pay earnings resulting from that person's activity.
The Cookie Window is highlighted on the Affiliate registration form. The tracking day will start from the time a customer clicks on the Affiliate’s link or uses the coupon. Within the cookie window, every order made by the customer at the merchant’s website will automatically result in commissions to the Affiliate. (There’s then no need for the customer to click on the Affiliate link.)
The Cookie Window is the period of time that the system can track the orders after the customer clicks the link. For example, if you set the cookie time at 30 days, all orders made by the customer within 30 days after he clicked an Affiliate link (from the same browser) will be tracked and counted as referrals for that Affiliate.
6. Termination
Your Affiliate application and status in the Program may be suspended or terminated for any of the following reasons:
-Inappropriate advertisements (false claims, misleading hyperlinks, etc.)
-Spamming (mass email, mass newsgroup posting, etc.)
-Advertising on sites containing or promoting illegal activities
-Failure to disclose the Affiliate relationship for any promotion that qualifies as an endorsement under existing Federal Trade Commission guidelines and regulations, or any applicable state laws
-Self referrals, fraudulent transactions, or suspected Affiliate fraud
The Merchant reserves the right to terminate an Affiliate account at any time for violations to this Agreement or for other reasons not described herein.
We reserve the right to remove you as an Affiliate, without recourse by you, for any behavior we consider to be unethical or in conflict with the spirit and intent of the Program and our goals as a brand.
The Merchant does not support or endorse any claims made about any Nano-Ojas® products that would be in violation of any rules or regulations to which we, the Merchant, must comply. These include but are not limited to drug claims, medical advice, or incorrect or outdated claims. Those who violate such regulations are solely responsible for such claims and any consequent legal action, and it is the responsibility of the Affiliate to ensure their information is accurate and in compliance with the necessary regulations. The Merchant reserves the right to suspend or terminate the Affiliate Agreement with no notice if this policy is violated.
7. Liability
The Merchant will not be liable for indirect or accidental damages (loss of revenue, commissions) due to Affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).
8. Force Majeure
Neither party will be responsible for failure or delay of performance if caused by: an act of war, hostility, or sabotage; act of God; electrical, internet, or telecommunication outage that is not caused by the obligated party; government restrictions; or other event outside the reasonable control of the obligated party. Each party will use reasonable efforts to mitigate the effect of a force majeure event. It is agreed that the force majeure will only result in the suspension of this agreement, during the time that this extraordinary event occurs. The party that would use the force majeure as an excuse to terminate the contract will have to inform the other party.
9. Removal from Referral Program
If an Affiliate wishes to be removed from the Affiliate program, they can request to do so by contacting: nanoojasinc@gmail.com. It may take up to 72 hours to process the request.
10. Term of Agreement
The term of this Agreement begins upon your acceptance into the Program and will end when your Affiliate account is terminated.
The Terms and Conditions of this agreement may be modified by us at any time. If any modification to the Terms and Conditions of this Agreement are unacceptable to you, your available recourse is to terminate your Affiliate account. Your continued participation in the Program will constitute your acceptance of any changes.
If the Affiliate Agreement is suspended or terminated for any reason, the Affiliate must immediately cease and desist use of any Nano-Ojas content including but not limited to: graphics, artwork, photographs, copy, logos, and testimonials. All previous permissions and/or agreements for such use, stated or implied, are immediately revoked.
